100% ownership for foreign investors in Oman?

Expatriates will be allowed to start a business without an Omani partner and no minimum capital requirement will be necessary if a draft law prepared by the Ministry of Commerce and Industry (MoCI) is approved by the government. The new foreign capital investment law, which is in its third and final drafting stage, will allow 100 per cent foreign ownership and remove the minimum capital requirement to provide foreign investors with an open market in Oman...

Starting a company in Oman

Conditions for Setting up a Business in Oman Non-Omani nationals:

  • You must apply for a license at the Ministry of Commerce and Industry.

  • You have to invest a minimum capital of 150,000 OMR.

  • Foreign investors and business people are allowed to own a certain percentage of company shares, usually 49%. The rest must be in Omani hands. For businesses in free zones, a higher share of foreign ownership is possible, and you may require a lower amount of minimum capital. Certain legal business structures — a purely promotional representative office or the branch office of a foreign company — can also be established without Omani participation.

  • However, you should have a local agent or lawyer to help you with administrative issues and government correspondence.

How to Register Your Company:

  • Once you have decided which legal form your company should take (e.g. general partnership or limited liability company), you can register it.

  • First, it has to be registered with the Ministry of Commerce and Industry.

  • For specific sectors, you need additional permission from the relevant ministry. For example, if you would like to set up an import business for medical equipment, you have to obtain a license from the Ministry of Health.

  • Then, you can register the new company with the Oman Chamber of Commerce and Industry and the municipal authorities.

The Ministry of Commerce and Industry MOCI launches New Services to ease the Commercial Licenses:

Mr. Abdullah bin Ali bin Abdullah al-Kalbani, Sample Receipt Section Head, and Member of the Comprehensive Development Team of the services at the One-Stop-Shop "Invest Easy", said: "The Ministry of Commerce and Industry continues to simplify and facilitate the formalities for investors and entrepreneurs by converting all the business services into self-electronic services provided through the "Invest Easy" portal, particularly with regard to obtaining the licenses of commercial activities related to other entities".
